Dipl.-Kfm. Dr. Maximilian Koch
Dipl.-Kfm. Dr. jur. Maximilian Koch, attorney at law, is a partner of MKRG. He specialises in advising – out of MKRG´s Dusseldorf office – private and public corporate law, in particular stock corporation law, finance and capital market law, as well as domestic and international cross-border M & A transactions. Dr. Maximilian Koch´s well-founded economic expertise and comprehensive professional experience fit his legal background.
In his main field of expertise, Dr. Maximilian Koch structured and advised - in particular for major listed stock corporations – over the past years numerous shareholders and supervisory board meetings, corporate measures, affiliation agreements, transactions according to the German Transformation Act (UmwG), joint ventures, and shareholder agreements. He advised clients on complex board compensation issues (Mannesmann case, stock option plans etc.) and Corporate Governance matters, on public offers pursuant to the German Securities Acquisition and Takeover Act (WpÜG) and on German Securities Trading Act (WpHG) topics. In addition, he represented clients in shareholder disputes with complex ownership structures. Furthermore, Dr. Maximilian Koch advised on transactions and litigation regarding complex civil and commercial law issues.
His recent projects pertaining to capital markets and finance law include inter alia:
- Advising several international groups of companies on establishing their European cash pool systems
- Drafting a prospectus in accordance with the German Securities Selling Prospectus Act (WpPG) pertaining to newly issued shares of a foreign stock corporation listed on the stock exchange in Frankfurt am Main
- Restructuring the financing of an international group of companies
- Establishing a factoring company in Germany
- Aligning an US employees´stock option plan with the German capital markets law requirements
Dr. Maximilian Koch`s past M & A practice comprises inter alia the following closed transactions: - Sale of Vossloh AG´s lighting division to Matsushita Electric Works., Ltd. (2002)
- Advising Saban Capital Group, Inc. on the KirchMedia transaction (2002/2003)
- Acquisition of a minority stake in CompuGROUP Holding AG by General Atlantic Partners (2003)
- Acquisition of the main shareholding in Beiersdorf AG by Tchibo Holding AG, HGV and Troma as buyers and, in this context, structuring and executing the public self tender offer program of Beiersdorf AG (2003/2004)
- Sale of the main shareholding in TUI AG by WestLB AG (2004)
- Management Buyout of the Maredo group ("Maredo I") (2005).
- Acquisition of the Homann group by IFR (2007)
